Terms of Service

By creating an account, clicking “I agree”, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Services.

You are responsible for the accounts and users within your workspace, for keeping credentials secure, and for all activity that occurs under your account. You must provide accurate account information and promptly update it as needed. You must be at least the age of majority in your jurisdiction to use the Services.

• Billing. The Services are provided on a subscription basis. Fees are charged through Stripe, our payment processor, using the payment method on file.
• Renewal. Monthly plans automatically renew each billing period until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or downgrades.
• Changes. We may change pricing on renewal with at least 30 days’ notice. Taxes are your responsibility unless stated otherwise.
• Non-payment. If a charge fails and is not resolved, we may suspend or terminate access to the Services.

You agree not to, and not to permit any user to:

• Use the Services in violation of any applicable law or regulation, or the terms and policies of any connected platform (including WhatsApp and Meta).
• Use our WhatsApp, Meta, or other messaging integrations to send spam, unsolicited bulk messages, deceptive or fraudulent communications, or any content prohibited by the relevant platform.
• Send messages to individuals who have not provided the consent required by applicable law or platform rules, or continue messaging after a recipient opts out.
• Upload or transmit malware, attempt to gain unauthorized access to the Services or other accounts, probe or scan our infrastructure, or interfere with its normal operation.
• Resell, sublicense, or provide the Services to third parties outside your organization without our written consent, or reverse engineer the Services.

We may investigate suspected violations and may remove content or suspend access to protect the Services, our users, or connected platforms.

You retain all rights to the data and content you submit to the Services (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Services. We retain all rights to the Services themselves, including all software, models, and documentation.

The Services interoperate with third-party platforms that you choose to connect. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, changes, or actions. A third party may modify or discontinue its API, which may affect related features.

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Zynctex disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that they will meet your requirements.

To the maximum extent permitted by law, Zynctex will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access, in whole or in part, if you materially breach these Terms — including the Acceptable Use section — fail to pay, or use the Services in a way that creates risk or legal exposure for us, other users, or connected platforms. Where practical and appropriate, we will give notice and an opportunity to cure.

On termination, your right to access the Services ends. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, and payment obligations — will survive.

We may update these Terms from time to time. If we make material changes, we will notify account administrators by email or through the Services before the changes take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.
